Terms of Service

By creating an account or using Northcast (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and Northcast ("we," "us," or "our").

You must be at least 18 years old and have the legal authority to enter into contracts to use the Service.

Northcast provides AI-powered digital authority audits for local businesses. The Service analyzes your website, social media presence, YouTube channel, Google Business Profile, and other digital signals to generate an authority score and content strategy recommendations ("Audit Reports").

Audit Reports are generated using automated AI systems and are provided for informational purposes only. They do not constitute professional legal, financial, or marketing advice.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized access.

You may not share your account with others or create accounts by automated means. We reserve the right to suspend or terminate accounts that violate these Terms.

Audit Credits

Audits are purchased using credits. Each full authority audit consumes one (1) credit. Credits are non-transferable and have no cash value.

Pay-as-You-Go

PAYG credit packs are purchased as a one-time payment. Purchased credits do not expire. See our Refund Policy for conditions.

Pro Subscription

Pro subscriptions are billed monthly. 250 credits are added at the start of each billing cycle. Unused credits from the current cycle do not roll over. Subscriptions auto-renew until canceled.

Free Credits

New accounts receive 3 complimentary credits upon registration. These are non-refundable and non-transferable.

Pricing Changes

We reserve the right to change pricing with 30 days' advance notice. Price changes do not affect credits already purchased.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to reverse-engineer, scrape, or copy the Service or its underlying AI models
• Use the Service to audit businesses you do not own or have authorization to analyze
• Resell or redistribute Audit Reports without our written permission
• Submit false, misleading, or harmful content as business context
• Attempt to circumvent rate limits, authentication, or credit requirements
• Use automated scripts to mass-generate audits or requests

Our Property

The Northcast platform, brand, algorithms, scoring models, and all related software are owned by Northcast and protected by Canadian and international intellectual property laws.

Your Data

You retain ownership of the business data and content you provide. You grant us a limited license to process that data to deliver the Service.

Audit Reports

You may use your Audit Reports for your own business purposes. You may not resell, white-label, or commercially distribute reports without our written consent.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) Audit Reports will be accurate, complete, or suitable for any particular purpose; (c) any specific business outcome will result from using the Service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NORTHCAST'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Some jurisdictions do not allow exclusion or limitation of certain damages, so the above limitations may not fully apply to you.

You agree to indemnify and hold Northcast harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

You may cancel your account at any time. We may suspend or terminate your account immediately for material violations of these Terms, without refund of unused credits.

Upon termination, your right to access the Service ends. We may retain certain data as required by law. Provisions that by their nature survive termination (including Sections 6, 7, 8, 9, and 11) shall continue to apply.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from these Terms shall be resolved through binding arbitration in Toronto, Ontario, under the rules of the ADR Institute of Canada, except that either party may seek injunctive relief in any court of competent jurisdiction.

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
